上海交通大学硕士学位论文关于电子合同的特殊性法律问题研究姓名：王笃祥申请学位级别：硕士专业：法律指导教师：付荣20070101摘要随着计算机及网络技术的飞快发展，人类社会正步入信息时代，电子商务亦应运而生，并且正在以令人惊讶的速度在世界范围内扩展。与传统合同相比，计算机和网络只是为商务活动提供了一种新的媒体手段和形式，不可能改变电子合同的根本属性,电子合同双方当事人的权利义务的内容并未发生实质性变化，传统的合同法原理依然适用于电子合同。但也正因为计算机与网络赋予了商务活动以一种新的媒体、手段和形式，且有逐渐取代传统媒体、手段和形式的趋向，从而导致了商务活动中各当事方之间的权利义务关系日趋于复杂化，由此也必然引发电子合同有着与传统合同不同的法律特征，相应地，法律关系主体，缔结过程及纠纷的解决等均发生变化。本论文着眼于以上三个层面的不同变化，主要以企业和个人之间发生的主流商事行为形成的电子合同为研究对象。在电子商务的产生上，以电子数据交换EDI为主，着重论述了电子合同的技术基础，并以对一般合同和电子合同的特征差异为线索，结合民法通则和合同法的有关理论，对电子合同的主体,缔结,管辖等方面予以论述。最后本文再结合国际电子商务立法的特点，提出完善我国电子合同相关法律规定的几点建议。关键词EDI电子合同电子签名电子认证缔约能力管辖权5AstudyonspeciallegalissuesofelectroniccontractABSTRACTDuetoarapiddevelopmentofcomputerandnetworktechnology，humanbeingsareenteringaninformationera,andElectronicBusinessisemergingasthetimerequired,developingwithasurprisingrapidinaworldwide.Comparingwiththetraditionalcontract,computerandnetworktechnologyonlyprovideanewmediamethodandformforbuinessactivities,withoutchangingthebasicattributeofelectroniccontract.Therightandcompulsorycontentofbothsubjectsdoesn’thavesubstantialchange.Andthetheoryoftraditionalcontractcanalsobeusedonelectroniccontract.Sincethecomputerandnetworkbringanewmediamethodandformforbuinessactivities,andwillreplacethetraditionalmediamethodandform,therightandcompulsoryrelationshipofeachsubjecthasbecomemoreandmorecomplex.Therefore,theremustbesomedifferentcharacteristicsbetweenelectroniccontractandtraditionalcontract,accordingly,thesubjectsystemoflegalrelationship,theprocessofconclusion,andthesettlementofdissensionarealsochanging.Withaviewtothedifferetchangeofthethreelaysabove,theauthortooktheelectroniccontractformedbythemainstreambuinessactivitiesbetweencompanyandindividualsasthemainstudyobject.Aboutthebirthofelectronicbuiness，theauthordiscussedthetechnologyfoundationofelectroniccontractgivingtheprioritytotheEDI.Withtheanalysisofthedifferencebetweentheelectronicandtraditionalcontract,theauthordiscussedthesubjects,conclusionandjurisd
