ParticipationAgreement-Oct.2011--ASSIGNMENTANDROYALTYSHARINGAGREEMENTThisagreement("Agreement")ismadebyandbetween______________,residingat_________________;_____________________,residingat__________________________;__________________,residingat_____________________;and__________________,residingat____________________,(eachofwhomhereinafterisreferredtoindividuallyasan"Inventor"andcollectivelyas"Inventors"),withrespecttoBostonUniversityTechnologyDisclosureCaseNumber_______,entitled""disclosedon_______________(hereinafterthe"Invention").WITNESSETHWHEREAS,InventorscollectivelyareordinarilyentitledtoreceiveashareofNetRoyalties(asdefinedintheCharlesRiverCampus(CRC)orBostonUniversityMedicalCenter(BUMC)PatentPolicy(asappropriate),asmaybeamendedfromtimetotime)receivedbyTrusteesofBostonUniversity(“BU”)and/orBostonMedicalCenterCorporation(BMCC)fromlicensingtheInventionunderBostonUniversity'sexistingpatentpolicies(the“InventorPayout”),whichpayoutisordinarilymadeinequalsharestotheInventorsunlessotherwiseagreed;andWHEREAS,theInventorsnowwishtoagreetoanInventorPayoutthatisnotinequalsharesandrecordsaidagreementwiththeBostonUniversityOfficeofTechnologyDevelopment(OTD)forpurposesofdistributionofNetRoyalties,ifandwhenapplicable;andtheInventorsunderstandthattheinitialpatentfilingoftheInventionmaybemadeasaprovisionalU.S.application,whichmayormaynotincludeclaims,andthatafinaldeterminationofrelativecontributiontotheInventioncannotbemadeuntilsaidclaimsarewrittenNOW,THEREFORE,inconsiderationoftheforegoing,theInventorsagreeasfollows:We,eachoftheInventors,herebyassignallrights,titlesandintereststotheInventiontoBUand/orBMCC(asappropriatebasedontheapplicablepatentpolicy)andagreetoexecutealldocumentsasrequested,documentingtheassignmenttoBUand/orBMCCofourrightsintheInvention,includinginanypatentapplication(s)filedthatdiscloseand/orclaimtheInvention,oranypartthereof.WealsoappointBUasourcommonagentforprosecutionofanyforeignpatentapplication(s)filedthatdiscloseand/orclaimtheInvention,
