梅特勒-托利多（常州）称重设备系统有限公司服务标准条款与条件METTLERTOLEDOAsusedherein,"theCompany"isunderstoodtomeanMettler-Toledo（Changzhou)Scale&SystemCo.Ltd.本条款中所指“公司”指梅特勒—托利多（常州）称重设备系统有限公司。ThefollowingtermsandconditionsshallapplytoallserviceperformedforBuyer,includingCallServiceandContractService.CallServiceisallfieldservicenotperformedunderanexistingcontract.TheBuyerunderstandsthatthetermsandconditionssetforthbelowshallbecontrolling,andanyadditionaland/orinconsistenttermsandconditionssetforthinanyacknowledgment,purchaseorder,oracceptancedocumentsrequestedfromand/orprovidedbytheBuyershallbeofnoforceoreffect.下列条款和条件适用于为买方提供的所有服务，包括单次收费服务和服务合同。单次收费服务是指服务合同以外的所有现场服务。任何其他条款或声明、订单及买方要求提供的或自己提供的其他材料中与下述条款相矛盾的条件或条款均不发生法律效力。1.RATES/PRICES价格RatestobechargedforservicestobeperformedarethosesetforthintheCompany'spublishedandcurrentlyissuedpricelists.Rates/pricesforservicesnotcoveredundercontractshallbethoseineffectattimeofprovidingservices.PricesforbillablepartsshallbethoseineffectatthetimeofinstallationinBuyer’sequipment.“公司”提供的服务价格标明在“公司”公布或发行的价格单上。“公司”提供的服务合同以外的现场服务的价格应以提供服务时的“公司”的收费标准为准。“公司”的价格不包括任何有关的检定费、许可费等。2.PAYMENTTERMS付款条件Exceptasotherwisespecifiedherein,termsarenetcash.Inaddition,theCompanyshallbeundernoresponsibilitytosendaservicerepresentativetotheBuyer'sfacilityshouldthebalanceowedtotheCompanybemorethanthirty(30)dayspastdue.IntheeventthatCompanyinitiatesanylegalproceedingstocollectanyamountowedbyBuyer,theBuyeragreestopayallofCompany’sreasonablelegalfeesandexpenses.除非合同另有规定，否则付款条件一律为现款支付。另外，如果买方超过30天未能付清所欠“公司”的款项，“公司”无义务向买方工厂派出维修工程师。如“公司”采取法律措施收取款项，买方同意承担因此而发生的律师费及其他费用。3.WARRANTIES质量保证A.SERVIC服务TheCompanywarrantsthattheserviceshallbeperformedinaworkmanlikemannerinconformitywithstandardindustrypractice.Shouldanynonconformitybedetectedwithin30daysaftertheworkiscompletedandpromptnotificationthereofismadebytheBuyerinwritingtotheCompany,theCompanywillsupplythenecessaryservice,directionorconsultationtocorrectthenonconformity.Therearenootherwarrant
