员工保密协议(英)员工保密协议(英)EMPLOYEENON-DISCLOSUREAGREEMENT FORGOODCONSIDERATION,andinconsiderationofbeingemployedby________(Company),theundersignedemployeeherebyagreesandacknowledges: 1.ThatduringthecourseofmyemploytheremaybedisclosedtomecertaintradesecretsoftheCompany;saidtradesecretsconsistingbutnotnecessarilylimitedto: a)Technicalinformation:Methods,processes,formulae,compositions,systems,techniques,inventions,machines,computerprogramsandresearchprojects. b)Businessinformation:Customerlists,pricingdata,sourcesofsupply,financialdataandmarketing,production,ormerchandisingsystemsorplans.2.IagreethatIshallnotduring,oratanytimeaftertheterminationofmyemploymentwiththeCompany,useformyselforothers,ordiscloseorpulgetoothersincludingfutureemployees,anytradesecrets,confidentialinformation,oranyotherproprietarydataoftheCompanyinviolationofthisagreement. 3.ThatupontheterminationofmyemploymentfromtheCompany: a)IshallreturntotheCompanyalldocumentsandpropertyoftheCompany,includingbutnotnecessarilylimitedto:drawings,blueprints,reports,manuals,correspondence,customerlists,computerprograms,andallothermaterialsandallcopiesthereofrelatinginanywaytotheCompany'sbusiness,orinanywayobtainedbymeduringthecourseofemploy.IfurtheragreethatIshallnotretaincopies,notesorabstractsoftheforegoing.b)TheCompanymaynotifyanyfutureorprospectiveemployerorthirdpartyoftheexistenceofthisagreement,andshallbeentitledtofullinjunctivereliefforanybreach. c)Thisagreementshallbebindinguponmeandmypersonalrepresentativesands
