英文版的买卖合同contractno.:thebuyers:thesellers:thiscontractismadebyandbetweenthebuyersandthesellers;wherebythebuyersagreetobuyandthesellersagreetoselltheunder-mentionedgoodssubjecttothetermsandconditionsasstipulatedhereinafter:(1)nameofcommodity：(2)quantity:(3)unitprice:(4)totalvalue:(5)packing:(6)countryoforigin:(7)termsofpayment:(8)insurance:(9)timeofshipment:(10)portoflading:(11)portofdestination:(12)claims:within45daysafterthearrivalofthegoodsatthedestination,shouldthequality,specificationsorquantitybefoundnotinconformitywiththestipulationsofthecontractexceptthoseclaimsforwhichtheinsurancecompanyortheownersofthevesselareliable,thebuyersshall,havetherightonthestrengthoftheinspectioncertificateissuedbythec.c.i.candtherelativedocumentstoclaimforcompensationtothesellers(13)forcemajeure:thesellersshallnotbeheldresponsibleforthedelayinshipmentornon-deli-veryofthegoodsduetoforcemajeure,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.thesellersshalladvisethebuyersimmediatelyoftheoccurrencementionedabovethewithinfourteendaysthereafter.thesellersshallsendbyairmailtothebuyersfortheiracceptanceacertificateoftheaccident.undersuchcircumstancesthesellers,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.(14)arbitration:alldisputesinconnectionwiththeexecutionofthiscontractshallbesettledfriendlythroughnegotiation.incasenosettlementcanbereached,thecasethenmaybesubmittedforarbitrationtothearbitrationcommissionofthechinacouncilforthepromotionofinternationaltradeinaccordancewiththeprovisionalrulesofprocedurepromulgatedbythesaidarbitrationcommission.thearbitrationcommitteeshallbefinalandbindinguponbothparties.andthearbitrationfeeshallbebornebythelosingparties.(thebuyers)(thesellers)
