英文国际顾问协议-科研院所专家企业聘用协议模板-英文(可以直接使用，可编辑优秀版资料，欢迎下载）INDUSTRY-ACADEMICCONSULTINGAGREEMENTThisAgreementismadethis_____dayof_________，201_7_，byandbetween（the“Company”),acorporationorganizedandexistingunderthelawsofthe，and(the“Consultant”)，anemployeeandfacultymemberof,aneducationalinstitutionandcharitablecorporationlocatedin（“XXX”).WHEREAS,theConsultant，asamemberofthefacultyatXXX(“XXX”),ispermittedtoperformlimitedconsultingservicesforcompanies，subjecttothetermsofConsultant'semploymentrelationshipwithXXXandtheapplicablepoliciesandproceduresofand;WHEREAS，theCompanydesiresthattheConsultantprovideadviceandassistancetotheCompanyinhisorherareaofexpertise；andWHEREAS,theConsultantdesirestoprovidesuchadviceandassistancetotheCompanyunderthetermsandconditionsofthisAgreement；NOW，THEREFORE，theCompanyandtheConsultantherebyagreeasfollows：1.ConsultingServices（a)SubjecttothetermsandconditionsofthisAgreement,theCompanyherebyretainsConsultantasaconsultantandtechnicaladvisortoperformtheconsultingservicesspecificallysetoutinExhibitAattachedtothisAgreementandmadeaparthereof(hereafterreferredtoasthe“Services")，assaidExhibitmaybeamendedinwritingfromtimetotime，andConsultantagrees,subjecttothetermsandconditionsofthisAgreement,rendersuchServicesduringthetermofthisAgreement。SuchservicesshallbelimitedtotheareaofexpertisedescribedinExhibitA(the“Field”），asamendedinwritingfromtimetotime。ConsultantshallrenderserviceshereunderatsuchtimesandplacesasshallbemutuallyagreedbyCompanyandConsultant。Consultant’scommitmenthereundershallnotexceed___30___daysper__year____。（b)ItisunderstoodthatthepurposeoftheConsultingistoprovideperiodicreviewandadvicerelevanttocertainCompanymatters，andthatneitherConsultantnorCompanywillbenefitifConsultantprovidesinaccurateadviceorcommentarybasedoninsufficientinformation.Tothatend，CompanyshallprovideConsultant,inadvanceofmeetings,withaccurate，unbiasedandsufficientinformationforhimtoreviewthesubjectmatterthereof，andshallpromptlyprovidefurtherinformationthatConsultant
